Terms of Service

1. About Us

PropertyCalc NZ (“the Service”) is operated by Simply Better Reports Ltd (“we”, “our”, or “us”), a New Zealand registered company.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

3. Description of Service

PropertyCalc NZ provides pipeline intelligence and financial visibility tools for New Zealand real estate agents, including commission calculators, seller net sheets, settlement date calculators, and related professional tools.

4. Consumer Guarantees Act

PropertyCalc NZ is designed for use by licensed real estate agents and professionals in the course of their business. Nothing in these terms is intended to limit any rights you may have under the Consumer Guarantees Act 1993 (“CGA”) where it applies. If you are acquiring the Service for business purposes, you agree that the CGA does not apply to the extent permitted by section 43 of the CGA. This exclusion is agreed to in writing as required by the CGA.

5. Fair Trading Act

We comply with the Fair Trading Act 1986. Nothing in these terms is intended to mislead you about your rights or obligations. If any term in these Terms of Service is found to be unfair under the Fair Trading Act, that term will be severable and the remaining terms will continue to apply.

6. Calculation Disclaimer

IMPORTANT: All calculations provided by PropertyCalc NZ are estimates only and should not be considered financial, legal, or tax advice. Commission structures vary by agency and agreement. NZ public holiday dates, tax rules, and regulatory requirements may change. Always verify calculations with your agency, accountant, and legal advisors before relying on them for business decisions. You should seek independent professional advice for any financial decisions.

7. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use

We reserve the right to suspend an account if we reasonably believe it has been compromised.

8. Trial and Subscription

Trial

New users receive a 30-day full-access trial at no cost and with no payment details required. At the end of the trial period, if you have not subscribed, your account will transition to read-only access to your dashboard. Your data will be retained and full access will be restored if you subscribe.

Subscription

The Service is offered at $24.99 NZD per month (inclusive of GST). Payment is processed securely through Stripe. Subscriptions automatically renew monthly unless cancelled. You may cancel at any time through your account settings or the Stripe customer portal, and your access will continue until the end of the current billing period.

We may change subscription pricing with at least 30 days' written notice. Any price change will take effect at the start of your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

9. Refund Policy

Monthly subscriptions are not subject to partial refunds for the current billing period. Your access continues until the end of the paid period after cancellation. If the Service has been materially unavailable or defective during a billing period, you may request a refund by contacting support@propertycalc.co.nz and we will assess each request on its merits.

10. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorised access to the Service or its systems
  • Interfere with or disrupt the Service
  • Share your account credentials with others
  • Use automated systems, bots, or scripts to access the Service without permission
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service or its outputs without authorisation

11. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Simply Better Reports Ltd and is protected by New Zealand and international intellectual property laws. You retain ownership of any data you input into the Service. By using the Service, you grant us a limited licence to store and process your data solely for the purpose of providing the Service.

12. Data Accuracy

While we strive to provide accurate calculations, we cannot guarantee the accuracy of:

  • NZ public holiday dates (which may change by government legislation)
  • Commission structures (which vary by agency and are negotiable)
  • Tax calculations (which depend on individual circumstances and may change)

Users should verify all calculations independently before making business decisions.

13. Limitation of Liability

To the maximum extent permitted by New Zealand law, and subject to the Consumer Guarantees Act where applicable:

  • PropertyCalc NZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service
  • Our total liability for any claim arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim
  • We are not liable for any losses arising from reliance on calculations provided by the Service without independent verification

Nothing in this section limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold Simply Better Reports Ltd harmless from any third-party claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service in breach of these Terms
  • Your violation of any applicable law or regulation

15. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages. Where practicable, we will provide advance notice of planned maintenance.

16. Termination

By you: You may cancel your subscription or delete your account at any time through the settings page. Upon account deletion, your data will be handled in accordance with our Privacy Policy, which provides for a 3-month retention period before permanent deletion.

By us: We may suspend or terminate your account immediately if you materially breach these Terms, including misuse of the Service as described in Section 10. For termination without cause, we will provide at least 30 days' written notice and a pro-rata refund for any prepaid subscription period remaining.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be:

  1. First, resolved through good-faith negotiation between the parties
  2. If unresolved within 30 days, referred to mediation administered by AMINZ (Arbitrators' and Mediators' Institute of New Zealand)
  3. If mediation is unsuccessful, subject to the exclusive jurisdiction of the New Zealand courts

Each party will bear their own costs for negotiation and mediation, with the costs of the mediator shared equally.

18. Modification of Terms

We reserve the right to modify these terms at any time. For material changes, we will notify you via email or in-app notification at least 14 days before the changes take effect. If you do not agree to the modified terms, you may cancel your subscription and close your account before the changes take effect without penalty. Continued use of the Service after the changes take effect constitutes acceptance of the modified terms.

19. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
